Please read these Terms of Service (“Terms”) carefully before using Sellify (“the Service”) operated by Sellify (“we”, “us”, or “our”) at sellifybd.com.

By accessing or using the Service, you confirm that you are at least 18 years old, have the legal authority to enter into these Terms, and agree to be bound by them. If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these Terms.

1. Description of Service

Sellify is an AI-powered conversational commerce platform designed for F-Commerce (Facebook Commerce) businesses operating in Bangladesh. The Service enables sellers to automate customer interactions on Facebook Messenger and Instagram, manage orders, sync inventory, verify payments, and grow their business through intelligent automation.

Core capabilities of the Service include:

  • AI Chat Automation: Automated, context-aware responses to customer inquiries in Bangla, English, and Banglish via Facebook Messenger and Instagram DMs.
  • Visual AI & Product Recognition: Image-based product identification from customer-submitted photos.
  • Order & Inventory Management: Real-time capture and confirmation of orders, inventory synchronization, and invoice generation.
  • Fake Order Detection: AI-driven detection and blocking of suspicious or fraudulent order patterns.
  • Payment Verification: Verification of bKash payments via transaction ID or merchant account sync.
  • Customer Retention: Automated follow-ups, abandoned cart reminders, and re-engagement campaigns on behalf of sellers.
  • Analytics Dashboard: A web-based dashboard providing real-time business insights and growth metrics.

2. Eligibility & Account Registration

  • You must be at least 18 years of age and legally capable of entering into contracts under Bangladeshi law to use the Service.
  • You must own or have administrative rights over the Facebook Page(s) you connect to Sellify.
  • You agree to provide accurate, current, and complete information during registration and to keep your account details up to date.
  • You are responsible for maintaining the confidentiality of your account credentials. You must notify us immediately at sellifybdadmin@gmail.com if you suspect any unauthorized access to your account.
  • We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.

3. Meta Platform Compliance

Sellify integrates with Meta's platforms (Facebook and Instagram) via official Meta APIs. By using the Service, you agree to comply with:

You acknowledge that Sellify operates as a Meta technology partner and that our continued ability to provide the Service depends on our compliance with Meta's policies. Any violation of Meta's policies by you may result in immediate suspension of your Sellify account without a refund.

You must not use the Service to:

  • Send spam, unsolicited messages, or bulk messages that violate Meta's Messenger policies
  • Impersonate any person, business, or brand
  • Engage in deceptive, fraudulent, or misleading commercial practices
  • Collect user data beyond what is necessary for legitimate order processing
  • Violate any applicable law or regulation in Bangladesh or the customer's jurisdiction

4. Subscription Plans & Fees

Access to Sellify is provided through the following subscription plans, billed in Bangladeshi Taka (৳) per month:

  • Starter — ৳1,500/mo: 1 Facebook Page, 20,000 messages/month
  • Basic — ৳3,000/mo: 1 Facebook Page, 50,000 messages/month
  • Pro — ৳5,000/mo: 2 Facebook Pages, 100,000 messages/month
  • Business — ৳10,000/mo: 5 Facebook Pages, 750,000 messages/month
  • Enterprise — ৳15,000/mo: 10 Facebook Pages, 1,500,000 messages/month

All plans include Intelligent Image Recognition, Web Dashboard access, and on-demand use. Plan limits reset at the start of each billing cycle. Exceeding your monthly message limit may result in service throttling or suspension until the next billing cycle unless you upgrade your plan.

Subscription fees are billed in advance at the start of each billing period. We reserve the right to update pricing with 30 days' notice to registered users. Continued use of the Service after a price change constitutes acceptance of the new pricing.

5. Payment Terms

  • Payment must be made via the methods accepted on our platform (mobile banking, bank transfer, or other methods specified at checkout).
  • All fees are quoted and charged in Bangladeshi Taka (৳). You are responsible for any applicable taxes.
  • If a payment fails, we will notify you and provide a grace period to update your payment method. Continued failure to pay may result in suspension of your account.
  • Refunds are governed by our separate Refund Policy, which is incorporated into these Terms by reference.

6. Acceptable Use

You agree to use the Service only for lawful, legitimate business purposes. You must not:

  • Use the Service to sell prohibited, counterfeit, or illegal goods or services under Bangladeshi law or Meta's Commerce Policies.
  • Attempt to reverse-engineer, decompile, or extract the source code of the Service or its AI models.
  • Use the Service to harm, harass, or deceive customers or any third party.
  • Attempt to circumvent any rate limits, security controls, or access restrictions on the platform.
  • Share your account credentials with unauthorized third parties or resell access to the Service without our written consent.
  • Use automated tools to scrape or extract data from the Sellify dashboard.

We reserve the right to investigate suspected violations and to suspend or terminate accounts found to be in breach of this section, without notice and without refund.

7. Intellectual Property

All technology, software, AI models, designs, trademarks, and content that form part of the Sellify platform are the exclusive property of Sellify and its licensors. These Terms do not grant you any ownership rights in the Service.

You retain ownership of your business data, product catalog, and customer information that you input into the platform. By using the Service, you grant Sellify a limited, non-exclusive license to process and use that data solely to provide and improve the Service.

You may not use the Sellify name, logo, or branding in any way that suggests endorsement or partnership without our prior written consent.

8. Data & Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you agree to the collection and use of information as described in the Privacy Policy.

You are responsible as the data controller for any personal data of your customers (buyers) that flows through the Service. You must have a lawful basis to collect and process that data and must maintain your own privacy notice for your customers.

9. Service Availability & Modifications

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to:

  • Scheduled maintenance (we will provide advance notice where possible)
  • Unplanned outages or infrastructure issues
  • Changes to Meta's APIs or platform policies outside our control
  • Force majeure events (natural disasters, government actions, etc.)

We reserve the right to modify, suspend, or discontinue any feature or aspect of the Service at any time. Where changes materially affect your use of the Service, we will provide at least 14 days' notice.

10. Disclaimer of Warranties

The Service is provided on an “as is” and “as available” basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that:

  • The AI responses generated by the Service will be accurate, complete, or error-free
  • The fake order detection system will identify all fraudulent orders
  • Payment verification will be 100% accurate in all circumstances
  • The Service will meet your specific business requirements at all times

You assume full responsibility for all business decisions made based on information or automation provided by the Service.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Sellify and its directors, employees, partners, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service, including but not limited to:

  • Loss of revenue, profits, or sales resulting from missed or incorrectly processed orders
  • Losses from fraudulent orders not detected by our AI system
  • Losses arising from Meta API downtime, policy changes, or page restrictions
  • Unauthorized access to your account or data due to your failure to secure credentials
  • Any actions taken by Meta on your Facebook or Instagram Page

Our total cumulative liability to you for any claims arising under these Terms shall not exceed the total subscription fees you paid to us in the three (3) months immediately preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Sellify and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or related to:

  • Your violation of these Terms
  • Your violation of Meta's Platform Policies or any applicable law
  • Your use of the Service in connection with prohibited or fraudulent activities
  • Any dispute between you and your customers arising from automated messages or orders

13. Termination

Either party may terminate these Terms at any time:

  • By you: Cancel your subscription at any time through the dashboard. Your access continues until the end of the current billing period.
  • By us:We may suspend or terminate your account immediately if you violate these Terms, Meta's policies, or engage in fraudulent activity. In cases of non-payment, we will provide notice before suspension.

Upon termination, your right to access the Service ceases immediately. We will retain your data for up to 60 days post-termination, after which it will be deleted in accordance with our Privacy Policy. You may request early deletion at any time.

14. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of the People's Republic of Bangladesh. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Dhaka, Bangladesh.

Before initiating any legal proceedings, you agree to first contact us at sellifybdadmin@gmail.com and attempt to resolve the dispute informally within 30 days.

15. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will:

  • Update the “Last Updated” date at the top of this page
  • Notify registered sellers via email and dashboard notification
  • Provide at least 14 days' notice before new Terms take effect for material changes

Continued use of the Service after updated Terms take effect constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must discontinue use of the Service before the effective date.
